These Terms of Service ("Terms") govern your use of competitionandcurrency.com and legacyaec.com (the "Sites") and the services offered by 12918251 Canada Limited, operating as Legacy Solutions ("we", "us", "our"). Client engagements are also governed by their signed proposal or agreement. Where that agreement conflicts with these Terms, the signed agreement controls.

01 Our services

We provide website design, search engine optimization, advertising management, and related marketing services for architecture, engineering and construction firms. The specific scope, deliverables, fees and timeline for any engagement are defined in the proposal or agreement for that engagement.

02 Results and our guarantee

Marketing outcomes depend on factors including search engine algorithms, advertising platform policies, competition and your market. Our 60-day guarantee is set out below. Beyond that guarantee or an additional commitment expressly stated in your signed agreement, we do not guarantee particular rankings, traffic volumes, inquiry counts or revenue outcomes.

03 Your responsibilities

  • Provide accurate information and timely access to the accounts and materials an engagement needs (for example website, analytics, and advertising accounts).
  • Ensure that content and materials you supply do not infringe anyone's rights and comply with applicable law and licensing rules, including any professional licensing rules that apply to your firm.
  • Use the Sites lawfully and not attempt to disrupt or gain unauthorized access to them.

04 Intellectual property

The Sites and our materials, methods and templates remain our property. Content and materials you supply remain yours. Unless the signed agreement says otherwise, deliverables we create for a client are licensed or assigned as set out in that agreement upon payment.

05 Plans and billing

All three marketing plans are month to month. Your monthly plan price includes the website build and ongoing work listed for that plan. The first monthly fee is due at signing, with subsequent fees due monthly on the same billing date.

Ad spend is billed separately. Meta advertising is an optional, separately priced add-on. Standard email sending setup and contact data are included in Front Page Plus and Front Page Metro.

Your monthly service period runs from one billing date to the day before the next. That period continues to define your service dates when a monthly fee is waived under our guarantee.

If we cannot complete the launch because a payment, intake information, domain access, required assets or approvals are missing, the launch and the start of the guarantee wait until those requirements are met. We identify the missing requirements in writing.

After 30 consecutive days of client-caused delay before launch, we pause further monthly plan billing. Amounts already due remain payable. Once the requirements are complete and work can resume, we confirm the restart date and billing schedule with you in writing. The guarantee begins when your site launches with tracking working.

06 Communications

By submitting a form or contacting us, you consent to us contacting you about your inquiry by email, phone, or text message. Text messaging terms and opt-out instructions are described in our Privacy Policy (reply STOP to any text to opt out).

07 Third-party services

Our services rely on third-party platforms (such as Google, Meta, and website hosting and CRM providers). We are not responsible for those platforms' availability, policies, or decisions, including account suspensions or algorithm changes.

This does not limit our 60-day guarantee or change its treatment of platform outages.

08 Disclaimers and limitation of liability

The Sites are provided "as is" without warranties of any kind, express or implied. To the maximum extent permitted by law: (a) we are not liable for indirect, incidental, consequential, special or punitive damages, or for lost profits, revenue or data; and (b) our total liability arising out of or relating to the Sites or an engagement is limited to the amounts you paid us for the engagement giving rise to the claim in the twelve months before the claim arose. Nothing in these Terms limits liability that cannot be limited under applicable law.

Nothing in this section removes the fee waiver or credit obligations expressly set out in our 60-day guarantee.

09 Termination

The cancellation and account-handover terms below apply to our monthly marketing plans. We may suspend or end access to the Sites at any time for misuse. Restricting misuse of these public Sites does not change a client's rights under the guarantee and cancellation terms.

10 Our 60-day guarantee

Measurable inbound inquiries in your CRM within 60 days of launch, or we keep working free until you have them.

What counts

For this guarantee, an inquiry is a person who is not already your client contacting your firm about engineering services you offer, through your website form, chat or tracked phone line. Each person is counted once across the guarantee period and any subsequent waiver.

Spam, tests, existing clients, repeat contacts, vendors, recruiters and people selling to your firm do not count. A call counts when its recording, transcript or written CRM record shows what the person asked about. Call duration alone is not enough.

This definition is narrower than the reporting count used in our published results and monthly reports. Those reporting figures are not presented as proof that a firm met this guarantee.

How inquiries are recorded

Forms and chats are saved with their message text. Calls must have a usable record of the inquiry. Where recording is used, any required notice and consent must be in place. Your team can instead record each call's outcome in the CRM within two business days.

We review and tag new records weekly. You can review the records and dispute a classification. We assess the underlying inquiry evidence; a missing agency-applied tag does not turn an otherwise supported inquiry into a non-inquiry.

If you decline both call recording and written call logging, only documented website and chat inquiries can count. We explain this before you sign.

The 60-day period

Launch day is day 1: the day your site is live and inquiry tracking is working. The initial window ends after 60 calendar days. We assess records from that period on day 61.

You must have paid two monthly plan fees to qualify. This is an eligibility condition, not a two-month minimum contract. You may cancel under the cancellation terms, but leaving before two paid months means you do not qualify.

What happens if there are fewer than five inquiries

If you qualify and have fewer than five qualifying inquiries by the end of the window, we waive your entire monthly plan fee from day 61. All work included in your plan continues.

If you have already paid for days covered by the waiver, we credit that portion of the monthly fee using the number of calendar days in the billing period.

The waiver continues until the cumulative qualifying count since launch reaches five, subject to the client-caused interruption and cancellation rules below. There is no fixed time limit on the waiver.

Billing resumes on the first regular billing date after the count reaches five. Any unused guarantee credit is applied to that invoice.

Ad spend, the optional Meta service and any separately disclosed charges remain payable. Fees covering days before the waiver are not refunded under this guarantee.

Client-caused interruptions

If an overdue payment or a client-caused loss of required access prevents the agreed work or inquiry tracking, we notify you by email, explain the issue and state what is needed to resolve it. Examples include removing tracking access, disabling the CRM, taking the site offline or changing the tracked number or its forwarding so inquiries can no longer be recorded.

The guarantee clock, or an existing waiver, is suspended for the affected period. The affected period starts when the records show the issue began, or when we notify you if its start cannot be established. You have 30 days from our written notice to resolve it.

Ordinary billing continues during the interruption. If you were in a waiver, the plan fee resumes on the next regular billing date while the waiver is suspended. Existing credits are held, not forfeited. We continue the work that the available access and resources allow.

If you resolve the issue within 30 days, the remaining guarantee period or waiver resumes. Unsupported inquiries from the interruption do not count. If a paid billing period overlaps a restored waiver, we credit its covered days pro rata.

If the issue remains unresolved after 30 days, the guarantee ends for that launch. The engagement remains month to month unless cancelled. Any unused guarantee credit is refunded within 30 days.

A request to pause the marketing engagement is handled as a cancellation. The pre-launch billing pause described above applies specifically to a launch blocked by missing client requirements.

Agency or platform problems

Our mistakes and platform outages do not extend your guarantee deadline, suspend an existing waiver or forfeit your eligibility. We notify you within one business day of discovering a tracking interruption and work to restore it.

We use available records to assess supported inquiries. We do not assume that unrecorded inquiries occurred. A disputed cause is treated as outside your control while it is unresolved.

If you cancel during a waiver

The cancellation rules below apply. Service ends at the end of the current monthly service period even if no fee was charged for it. An unused guarantee credit is refunded within 30 days or applied to your chosen exit option. Cancellation ends the guarantee for that launch.

11 Cancellation and account handover

The plans are month to month. You can cancel by email at any time. Service continues through the end of your current monthly service period, whether or not its fee was waived. Ordinary partial months are not refunded. Any unused guarantee credit is refunded within 30 days of service ending, or applied to an exit option at your choice.

By your last day of service, choose one of the following options if you want to retain hosting and CRM access or receive an export.

Keep the website and CRM: $297/month

Your existing website stays online as it is. You retain your CRM login and records, existing forms and calendar, and tracked number for incoming calls and replies.

This option includes 500 inbound call minutes and 500 text segments each month. A text can use more than one segment. Usage above the allowance is itemized and billed at the platform's published rates, disclosed before you choose the option.

It does not include marketing work, website changes, reports, the 60-day guarantee, bulk campaigns, new automations or support beyond keeping the included services accessible.

Website backup and CRM export: $497 once

You receive a website backup and an export of your CRM records as files to keep or share with another provider.

A backup is not a working migration. Forms, booking and automations may need to be reconnected or rebuilt in another system. Continued website hosting and CRM access are not included in the one-time export price.

If you choose neither option

Hosting and CRM access end with your monthly service period. We retain the account offline for 14 days without a retention charge, during which you may still choose either option. After that, we delete the account, subject to the holds below.

When deletion is held

We do not delete the account while a paid export is being delivered. That hold ends when the archive has been delivered and you confirm receipt, or when 14 days pass after delivery without a reported missing part.

We also hold deletion for a number transfer requested in writing before the deletion date. The hold continues until the platform confirms the transfer or confirms that it cannot be completed. If an action from you is required and remains outstanding for 30 days after our written request, we send a final notice before proceeding with deletion.

We do not charge for these holds. A platform transfer charge, if applicable, is passed through at cost and disclosed. A deletion hold does not extend marketing work or website hosting.

Your accounts and phone number

Your domain and Google Business Profile remain yours. We provide administrator access to the Google accounts holding your firm's data, including Search Console, Analytics, Tag Manager and Google Ads, and transfer ownership where the platform allows it. We do not charge for that handover.

The tracked number remains active under the $297 option. Otherwise, it is released with the account unless you request a transfer in time. We can request and support the transfer; its completion depends on the platform.

12 Email outreach

Front Page Plus includes an allowance of 100 emails per sending day. Front Page Metro includes 250. Front Page does not include email outreach.

Sending days are Monday to Friday. The daily allowance counts initial emails and follow-ups together. It is the maximum daily sending allowance, not a promise to contact that many new people each day.

Sending starts below the daily allowance and increases as sending performance allows. We do not promise a fixed ramp-up date.

Standard sending setup, sending infrastructure and contact data are included in the applicable plan price. Ad spend and the optional Meta service remain separate.

The purpose of outreach is to introduce your firm to relevant business contacts. An email sent is not a promised reply, meeting, project or revenue result.

13 Governing law

These Terms are governed by the laws of Ontario and the federal laws of Canada applicable in Ontario.

14 Changes to these Terms

We may update these Terms from time to time. The "Last updated" date above shows the current version. Continued use of the Sites after changes take effect constitutes acceptance of the updated Terms.
